  • Support selection of companies worthy of making an offer
  • Help develop valuation range and pricing strategy
  • Recommend deal structure and terms
  • Draft letter of intent (LOI)
  • Lead (or support) negotiation of LOI
  • Support you and your outside counsel in drafting and negotiating the purchase agreement and other “deal docs”
  • Assist in restructuring the deal if issues arise from Due Diligence
  • Identify opportunities for reducing costs or improving profit
  • Provide general transaction support
  • Assess quality of profitability history and future projections
  • Analyze EBITDA adjustments, financial projections for cost and revenue
  • Determine working capital requirements
  • Analyze business and financial back office infrastructure and supporting automated systems
  • Explore potential risks and issues and help you determine whether they are deal breakers; are items that should affect price, indemnification or other deal terms; are primarily management decisions regarding risk; and/or items to include in your integration planning to be addressed post-closing

  • Review contracts, pipeline and waterfall to better understand projections and related risks
